RETURN POLICY
The products requested under this Purchase Order must meet all the requirements specified by Centennial and the quality represented by Vendor to Centennial. If any of the products do not meet said requirements and representations, including engineering network standards- if required, Centennial will have the right to return the product without any penalty or liability what so ever to vendor. If the product was paid, the Vendor will refund the total cost of the product. In accordance with the after mentioned, all products and acceptance of the same are subject to the approval of Centennial’s Engineering Department, when required.
DELIVERY DATE: As per P.O
If all the products ordered in this purchaser order are not received by Centennial on or before the date expressed herein (“delivery date”), Centennial shall have the right to either (i) cancel this purchaser order without any penalty or liability whatsoever to vendor or (ii) apply a discount to the purchase price equal to 10% of the original price times the number of weeks of fraction there of elapsed from the delivery date to the actual date of receipt of the products by Centennial.
ADDITIONAL TERMS AND CONDITIONS
This Purchase Order shall for all purposes be constructed in accordance with and governed by the laws of the Commonwealth of Puerto Rico. The vendor who accepts this Purchase Order agrees to be subject to the jurisdiction of the local and federal courts sitting in the Commonwealth of Puerto Rico. The rights and remedies herein expressed are cumulative and not exclusive of any other rights which Centennial would otherwise have. This Purchase Order may not be changed, waived, discharged, or terminated orally or in writing, except by written consent of a duly authorized representative of Centennial. In the event any provision of this Purchase Order shall for any reason be held to be invalid, illegal or unenforceable in any respect, such invalidity, illegality or unenforceability shall not affect any other term or provision here of , as if such invalid provision had never been contained herein. The parties here agree that they will negotiate in good faith to replace any provision held invalid, illegal or unenforceable with a valid provision, which is as similar as possible in substance to the invalid, illegal or unenforceable provision.
WAIVER OF JURY TRIAL
Both, Centennial and the Vendor who accepts this Purchase Order hereby agree not to seek a jury trial in any litigation procedure based or arising out of the agreements contained herein. None of the parties will seek to consolidate any such action in which a jury trial has been waived with any other action in which a jury trial has not been waived. The provisions of this Purchase Order have been fully negotiated by the parties and this provision shall be subject to no exceptions. Centennial has not in any way agreed with or represented to any of the parties that the provisions of this paragraph will not be fully enforced in all instances.

OVER/UNDER SHIPMENTS
All over-shipments and/or under-shipments shall be schedule, coordinated and negotiated with Centennial before shipping the products.
